1. Agreement to Terms

By accessing or using PR Kit's website at prkit.co and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

PR Kit provides a platform for creating and hosting professional press kits. The Service allows users to compile media assets, press releases, company information, and brand materials into hosted, shareable press kit pages.

3. Account Registration

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access to your account
• Notify us immediately if you discover or suspect any security breach related to the Service

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload or distribute content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable

5. User Content

By submitting User Content, you grant PR Kit a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service.

You represent and warrant that you own or have the necessary rights to all User Content you submit and that your User Content does not infringe or violate the rights of any third party.

6. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of PR Kit and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Payment Terms

Certain features of the Service may require payment. By subscribing to a paid plan, you agree to pay all applicable fees. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

• Fees are billed in advance on a monthly or annual basis depending on your chosen plan
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us. Upon termination, we will make reasonable efforts to provide you with a copy of your User Content upon request.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall PR Kit, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any User Content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

10. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

PR Kit does not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

11. Indemnification

You agree to defend, indemnify, and hold harmless PR Kit and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in San Francisco, California.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
